1. General

Welcome to Cyrafa LLC (“Cyrafa”, “Company”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of our website (the “Website”), merchant payment processing tools, custody wallets, and settlement services (collectively, the “Services”).

By accessing or using the Services, you acknowledge and agree to be bound by these Terms. If you do not agree with these Terms, you must immediately stop using the Services.

Cryptocurrency transactions involve risk, including price volatility, regulatory uncertainty, and potential loss of digital assets. By using our Services, you assume all associated risks.

2. Terms of Use Status and Acceptance

These Terms constitute a legally binding agreement between you and Cyrafa LLC.

By opening an account, using the Website, or selecting “I Agree,” you confirm that you have read and understood these Terms, accept all obligations stated herein, and agree to our Privacy Policy and AML/KYC Policy.

Cyrafa may update these Terms at any time. Updates are effective upon publication on the Website, and continued use of the Services constitutes acceptance of revised Terms.

3. Services

Cyrafa provides digital asset payment and settlement solutions, including cryptocurrency payment gateway integration, merchant cryptocurrency acceptance, digital wallet custody for merchant balances, and conversion and settlement in cryptocurrency or fiat currencies.

Cyrafa may modify, upgrade, or discontinue any Service with or without notice.

4. Eligibility

To use the Services, you must be at least 18 years old and legally able to enter binding agreements.

Entities must be duly registered and authorized to operate in their jurisdiction.

Cyrafa may refuse service to any individual or business at its sole discretion.

5. Personal Account

You must provide accurate and complete information when registering.

You are responsible for protecting your login credentials and wallet access.

You may not use your account for illegal activity, including money laundering, terrorist financing, fraud, or sanctions evasion.

Report unauthorized activity to [email protected] immediately.

6. Registration and Verification Requirements

To use the Services, you must pass identity verification in accordance with Cyrafa’s AML/KYC Policy.

You may be required to provide government-issued ID, proof of address, business incorporation documents, ownership and UBO information, and wallet ownership verification.

Failure to comply may result in suspension.

7. User Conduct

You agree not to violate any applicable law, provide false or misleading information, attempt to circumvent system controls, access accounts not belonging to you, or interfere with network or system integrity.

8. Account Closing & Suspension

You may request account closure at any time. All wallet balances must be withdrawn before closure.

Cyrafa may suspend or terminate accounts where suspicious activity is detected, false or fraudulent information is provided, regulatory or security risk exists, or these Terms are violated.

9. Fees

Service fees are disclosed prior to each transaction.

Cyrafa may adjust its fee schedule with notice.

Network fees (gas/miner fees) are non-refundable and are not controlled by Cyrafa.

10. Merchant Responsibilities

Merchants agree to comply with all applicable laws, including AML/CTF, not offer illegal or prohibited goods or services, and resolve end-user disputes independently.

Cyrafa may suspend merchants involved in prohibited activities.

11. Volatility

Cryptocurrency values fluctuate. Rates are only guaranteed when confirmed during the transaction window.

12. Fees and Payouts

Settlement options include cryptocurrency (BTC, ERC20, TRC20, BSC) and fiat currency where supported.

Cyrafa may apply processing fees, conversion spreads, and holding periods for fraud prevention.

13. Prohibited Activities

You may not use the Services to violate any law, engage in fraud or deception, launder money or fund terrorism, or facilitate illegal marketplaces or content.

Cyrafa may report violations to authorities.

14. Data Privacy

Data handling is governed by the Cyrafa Privacy Policy.

15. Content

No content on the Website constitutes financial or investment advice.

16. Intellectual Property

All Website content, APIs, platform tools, and branding belong to Cyrafa LLC.

Unauthorized copying, modification, or redistribution is prohibited.

17. Suspension and Termination

Cyrafa may suspend or terminate Services immediately in case of legal requirements, security risks, contract breach, or fraud suspicion.

18. External Links

Cyrafa is not responsible for third-party websites or external resources.

19. Confidentiality and Privacy

Personal and transactional data may be disclosed to regulators or law enforcement where legally required.

20. Disclaimers and Limitation of Liability

Services are provided “as-is” without warranties.

Cyrafa is not liable for price fluctuation losses, network failures, unauthorized access due to user negligence, or indirect or consequential damages.

21. Announcements

Cyrafa may communicate updates via Website notices or email.

22. Indemnification

You agree to indemnify Cyrafa for losses arising from misuse of the Services.

23. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Montana, USA.

Parties must first attempt good-faith negotiation. If unresolved within 30 days, disputes shall proceed to binding arbitration in Montana, and arbitration awards may be enforced in Montana state courts.

24. Final Provisions

These Terms constitute the entire agreement between the Parties.

The English version of the Terms prevails in case of translation inconsistencies.
